Terms of Service

These Terms of Service (the “Terms”) form a binding legal agreement between you and StratOps Core LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with its registered address at 30 N Gould St, Ste R, Sheridan, WY 82801 (“StratOps Core”, “we”, “us”, or “our”). They govern your access to and use of the website at stratops-core.com (the “Site”) and your purchase and use of the digital products and advisory services we offer.

Please read these Terms carefully. By accessing the Site, completing a purchase, or engaging our advisory services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, and (where applicable) Data Protection Addendum, each of which is incorporated by reference. If you do not agree, you must not use the Site or purchase our products. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

1. Definitions

In these Terms, the following capitalized terms have the meanings set out below:

“Blueprint”

The StratOps AI Deployment Blueprint — the bundle of digital files we make available as a single digital purchase, currently comprising the Playbook, the GenAI ROI Calculator, the Feature Catalog, the Risk Register, and the Squad Org Blueprint, together with any updates, supplements, or replacement files we may provide.

“Advisory”

Any direct, individually scoped consulting or advisory engagement agreed separately in writing between you and StratOps Core.

“Content”

All materials made available through the Site or within the Blueprint, including text, documents, spreadsheets, templates, models, methodologies, frameworks, graphics, and trademarks.

“Order”

Your purchase of the Blueprint or any other product through the Site.

“You” / “Your Organization”

The individual or single legal entity that accesses the Site or places an Order. Where the buyer is an organization, the license and permissions in these Terms extend to that single legal entity and its personnel as described in Section 6.

“Checkout Provider”

SureCart, which operates our checkout and customer dashboard, and Stripe, which processes payments. Neither acts as a merchant of record; we sell directly to you.

“Consumer”

An individual acting wholly or mainly outside that individual’s trade, business, craft, or profession, as defined under applicable consumer-protection law.

2. Eligibility and Business-to-Business Nature

The Site and the Blueprint are intended for business and professional use. They are not directed to, nor intended for, anyone under the age of 18, and we do not knowingly sell to or collect data from minors.

The Blueprint is designed and marketed as a business-to-business (B2B) product for organizations and the professionals who work within them. While individuals may purchase it, you acknowledge that the Blueprint is a professional tool. Where you purchase as a Consumer, nothing in these Terms limits or excludes any rights you have under mandatory consumer-protection law that cannot lawfully be waived (see Sections 8 and 9).

By placing an Order, you represent and warrant that the information you provide is accurate and complete, and that you have the legal capacity (and, where acting for an organization, the authority) to enter into these Terms.

3. The Site and Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Site in any way that breaches any applicable local, national, or international law or regulation;
  • Attempt to gain unauthorized access to the Site, the server on which it is hosted, or any server, computer, or database connected to it;
  • Interfere with, disrupt, damage, or impair the operation of the Site, or any other user’s use or enjoyment of it, including by introducing malware or launching a denial-of-service attack;
  • Use any automated system — including bots, scrapers, crawlers, or data-mining tools — to access, extract, or index Content from the Site without our prior written consent;
  • Use the Site or Content to develop, train, or fine-tune any machine-learning or artificial-intelligence model, or to create a competing product or service.

We reserve the right to investigate and to suspend, restrict, or terminate access to the Site for any user who breaches these Terms, without liability and without prejudice to our other rights.

4. Products, Pricing, and Taxes

Digital product. StratOps Core sells the Blueprint as a digital product delivered electronically. There is no physical shipment.

  • All prices are displayed at the point of purchase. Prices are primarily listed in US Dollars (USD); where a currency switcher is offered (for example, to Euro), the converted price shown at checkout applies to your Order.
  • The price displayed for the Blueprint at the time you place your Order is the price that applies to that Order.
  • We may change our prices at any time, but a change will not affect any Order we have already accepted.

Taxes. Prices are exclusive of taxes unless stated otherwise. Where we are legally required to collect sales tax, VAT, or equivalent indirect taxes, the applicable amount is calculated and added at checkout (our Checkout Provider, SureCart, performs this calculation, and Stripe processes the payment). You are responsible for any other taxes, duties, withholding, or charges imposed by your own jurisdiction in connection with your Order. Where you are a business required to self-account for VAT under a reverse-charge mechanism, you are responsible for doing so and for providing a valid Tax identification number where requested.

No merchant of record. We sell the Blueprint directly to you. SureCart provides checkout and customer-dashboard functionality, and Stripe processes payments; neither acts as a merchant of record or reseller, and your purchase contract for the Blueprint is with StratOps Core.

5. Order Process and Delivery

Your Order is an offer to purchase. A binding contract is formed when we (or our Checkout Provider on our behalf) confirm acceptance of your Order and payment, typically by a confirmation screen or email.

Delivery. The Blueprint is delivered electronically, immediately or shortly after your payment is confirmed, through a customer dashboard automatically created by SureCart and/or a secure download link or email. You are responsible for providing a valid email address and for downloading and securely storing your files. We are not responsible for delivery failures caused by incorrect contact details you supply, or by filters, firewalls, mailbox limits, or storage systems outside our reasonable control.

Customer dashboard. After purchase, your dashboard stores your account email, Order history, downloadable files, and invoices. The dashboard is provided for your convenience; we may modify or discontinue dashboard features, but we will use reasonable efforts to keep your purchased files accessible for download for a reasonable period. You should retain your own copies of the files.

6. License and Permitted Use

6.1 License granted

Upon our receipt of full payment, StratOps Core grants Your Organization a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable (for material breach), single-organization internal license to access, download, use, adapt, and apply the Blueprint files for Your Organization’s own internal artificial-intelligence, generative-AI, and agentic-AI deployment and operational-efficiency initiatives.

This license extends to the employees and direct contractors of Your Organization, acting on Your Organization’s behalf and for Your Organization’s own internal purposes, provided they are bound by confidentiality and use obligations no less protective than these Terms.

6.2 What you may do

  • Use the files on an unlimited number of Your Organization’s own internal projects;
  • Adapt, edit, and customize the files to fit Your Organization’s environment, processes, and branding for internal use;
  • Share the files internally among the personnel within Your Organization who are working on those initiatives;
  • Use the methodologies, methods, and skills you learn from the Blueprint in your own professional work.

6.3 What you may not do

Except under a separate written license from StratOps Core, you may not:

  • Resell, redistribute, sublicense, lease, lend, assign, or otherwise transfer the files (in original or modified form) to any third party;
  • Publish, post, or make the files publicly available, including on any website, repository, file-sharing service, marketplace, or model-training platform;
  • Use the files, in original or modified form, as a deliverable provided to your own clients or customers, or to deliver paid services to third parties on the basis of the files themselves;
  • Use the files or Content to develop, train, or improve any AI or machine-learning model, or to build a competing product;
  • Remove, obscure, or alter any proprietary, copyright, or attribution notices contained in the files;
  • Represent the Blueprint, or any substantial part of it, as your own original work or product.

6.4 Note for consultants and professional-services firms

If you are a consultant or work for a professional-services firm, this license permits you and your firm to use the Blueprint internally and to apply the knowledge, methods, and skills you gain from it in your professional work. It does not permit you to hand the actual files to your clients, rebrand them as your own deliverable, or distribute them as part of a client engagement. If you wish to use the Blueprint across client engagements in that way, contact us about an enterprise or reseller license.

6.5 Reservation of rights

All rights not expressly granted in this Section are reserved to StratOps Core. This license does not transfer ownership of any kind.

7. Intellectual Property

All Content on the Site and within the Blueprint — including the methodology, file structures, text, models, templates, calculators, graphics, logos, and the names “StratOps Core” and “StratOps AI Deployment Blueprint” — is owned by StratOps Core or its licensors and is protected by copyright, trademark, trade-secret, and other intellectual-property laws worldwide.

Except for the limited license granted in Section 6, nothing in these Terms grants you any right, title, or interest in any StratOps Core intellectual property. Any feedback or suggestions you provide may be used by us without restriction or obligation to you.

8. Right of Withdrawal and Consumers in the EU, UK, and Similar Jurisdictions

This Section applies if you purchase as a Consumer in a jurisdiction that grants a statutory right of withdrawal or cancellation for digital content supplied online — for example, the European Union (under Directive 2011/83/EU as amended) or the United Kingdom (under the Consumer Contracts Regulations 2013).

The Blueprint is digital content supplied without a tangible medium and made available for immediate download. Under the applicable law, your statutory right of withdrawal can be lost once supply begins, but only where, before delivery, you have (a) given your prior express consent to immediate supply, and (b) acknowledged that you thereby lose your right of withdrawal. To give effect to this, at checkout you will be asked to actively confirm the following before your purchase can be completed:

Checkout confirmation (ticked by you at the point of sale): “I request immediate access to the StratOps AI Deployment Blueprint upon purchase, and I acknowledge that by downloading or accessing the files I lose my statutory right of withdrawal / 14-day cancellation right for this digital content.”

Where you provide that confirmation and then download or access the files, you will no longer be entitled to withdraw. If you have not yet downloaded or accessed the files, your statutory withdrawal right continues to apply up to that moment, and you may exercise it by a clear statement to us at the contact address in Section 25.

Nothing in these Terms removes or limits any non-waivable statutory rights you may have under applicable consumer-protection law, including rights relating to digital content that is faulty, not as described, or not of satisfactory quality.

9. Refunds

The Blueprint is a digital product delivered electronically and available for immediate download. Subject to Section 8 and to your non-waivable statutory rights, all sales are final, and we do not offer refunds, returns, or exchanges once the Blueprint has been delivered or made available for download.

By completing your purchase and providing the checkout confirmation described in Section 8, you acknowledge and agree to this policy. We encourage you to review the product description and these Terms before purchasing. Nothing in this Section affects any remedy you may have where the digital content is faulty or not as described under applicable law.

10. Advisory Services

Advisory engagements are separate from the purchase of the Blueprint and are governed by the specific terms agreed in a separate written engagement letter or statement of work. These Terms apply to Advisory only to the extent not superseded by that separate agreement. Advisory is provided to business clients only.

Any reference figures, benchmarks, ranges, or projected outcomes discussed in Advisory or presented in the Blueprint — including figures relating to the anonymized reference deployment referred to as “SmartOps” — are illustrative reference points drawn from specific past contexts. They are provided for decision-support and informational purposes only. They are not guarantees, promises, representations, or warranties of the results you will achieve, and they are not incorporated into these Terms or any contract as representations or warranties. Your outcomes depend on your own environment, data, resources, execution, and many factors outside our control.

11. No Professional Advice

The Blueprint and any Advisory outputs are decision-support tools, not professional advice. They do not constitute legal, regulatory, financial, investment, accounting, tax, or other professional advice, and must not be relied upon as a substitute for advice from a qualified professional who is familiar with your specific circumstances. The financial-modeling methodology within the Blueprint is provided to help you build your own business cases and inform your own budget and deployment decisions; the inputs, assumptions, and conclusions are yours. You are solely responsible for any operational, financial, or strategic decision you make, and you should obtain independent professional advice before acting.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site, the Blueprint, and all Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, or non-infringement.

Without limiting the above, StratOps Core does not warrant that:

  • The Blueprint or methodology will achieve any particular result, return, saving, or outcome for your organization;
  • The Site will be uninterrupted, timely, secure, or error-free, or that defects will be corrected;
  • Any information, figure, benchmark, or projection provided is suitable for your specific circumstances without your own independent verification.

You are solely responsible for evaluating the suitability of the Blueprint for your needs. Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you, and you may have additional statutory rights.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

  • StratOps Core will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, anticipated savings, data, business, or goodwill, however arising and whether in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages;
  • Our total aggregate liability arising out of or relating to these Terms, the Blueprint, the Site, or any Advisory will not exceed the total amount you paid to StratOps Core for the product or service giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. Where you deal as a Consumer, these limitations apply only to the extent permitted by mandatory consumer law, and your statutory rights are unaffected.

14. Indemnification

You agree to indemnify, defend, and hold harmless StratOps Core and its officers, members, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Blueprint or the Site, or your violation of any law or the rights of any third party. This Section does not apply to the extent a loss arises from our own breach or negligence, and it does not apply to Consumers except to the extent permitted by law.

15. Confidentiality

The Blueprint contains proprietary and confidential methodology and trade secrets. You agree to treat the Blueprint files and any non-public Advisory materials as confidential, to use them only as permitted by these Terms or a separate agreement, and to protect them using at least the same degree of care you use for your own confidential information of similar importance, and no less than a reasonable degree of care. This obligation does not apply to information that is or becomes public through no fault of yours, or that you can show you already lawfully held.

16. Third-Party Services and Links

The Site relies on third-party services, including SureCart (checkout and customer dashboard), Stripe (payment processing), and Google Analytics (Site analytics). Your use of those services may be subject to their own terms and privacy notices, and we are not responsible for their acts or omissions. The Site may contain links to third-party websites or resources provided for convenience only; we do not endorse and are not responsible for their content.

17. Privacy and Data Protection

Our collection and use of personal data is described in our Privacy Policy and Cookie Policy. Where you are an organization subject to data-protection law and you require it, our Data Protection Addendum governs the limited personal data exchanged between us in connection with your Order. By using the Site and purchasing the Blueprint, you acknowledge those documents.

18. Term and Termination

These Terms apply from the moment you first access the Site or place an Order and continue while you use the Site or hold the Blueprint license. We may suspend or terminate your access to the Site, and terminate the license in Section 6, if you materially breach these Terms and (where the breach is capable of remedy) fail to remedy it within a reasonable period after notice. On termination of the license for breach, you must cease using and delete all copies of the Blueprint files. Sections that by their nature should survive termination — including Sections 7, 9, 11 through 15, and 19 through 25 — survive.

19. Force Majeure

We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, epidemic or pandemic, failure of utilities or telecommunications, internet or hosting outages, cyber-attacks, or acts of government.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you.

21. Changes to These Terms

We may modify these Terms from time to time. When we do, we will update the “Last updated” date at the top of this document and, where the change is material, take reasonable steps to notify you. Material changes will not apply retroactively to Orders already completed under the prior version. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

22. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

23. Notices

We may give notices to you by email to the address associated with your Order or by posting on the Site. You may give notices to us at the contact details in Section 25. Notices are deemed received when sent by email (absent a delivery-failure notice) or when posted on the Site.

24. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Subject to the paragraph below, you and StratOps Core submit to the exclusive jurisdiction of the state and federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

If you deal with us as a Consumer, this Section does not deprive you of the protection of any mandatory consumer-protection law of your country of residence, or of the right to bring proceedings in your local courts where applicable law so provides.

25. Entire Agreement and Contact

These Terms, together with our Privacy Policy, Cookie Policy, Data Protection Addendum (where applicable), and any separate Advisory engagement agreement, constitute the entire agreement between you and StratOps Core regarding the Site and the Blueprint, and supersede all prior agreements and understandings. In the event of a conflict, a separate signed Advisory agreement prevails over these Terms for that engagement.
